Terms of service

SpadaShield is a Chrome extension that checks messages before you send them to AI chat sites and checks citations in their answers.

The agreement

These terms are between NorthGate Strategic LLC, a Wyoming LLC ("NorthGate", "we"), and you. "You" is the person or the business that uses SpadaShield. If you use SpadaShield for your firm, you agree to these terms for your firm.

What SpadaShield does

SpadaShield is a Chrome extension and a checking service. It checks the messages you send to the AI chat sites it covers before they go, and it marks the citations in the AI's answers by what their public sources say: red when the source itself shows the citation is wrong, yellow when it needs a closer look (including any lookup that couldn't finish), and Spada blue when the source was found.

It is a safety net, not a guarantee.

  • It matches patterns, so it will miss some things, and it can also stop a message that was fine.
  • It knows US formats.
  • It only works in Chrome, on the listed AI sites.
  • It checks only the kinds of citation it lists on spadashield.com, and up to 25 in one answer.
  • A found source means the source exists, not that it supports what the answer says.
  • It doesn't judge whether an AI's answer is right.
  • You remain responsible for what you send, and for what you rely on.

If our service can't be reached, messages are not sent. That's on purpose, so nothing goes out unchecked, but it can interrupt work while the service is down.

Students and your own work

  • SpadaShield helps you see which citations in an AI's answer to look at first. It doesn't write, check or grade your work, and it doesn't decide what you may hand in.
  • You are responsible for your own work: for reading the sources you cite, for following your school's and your instructor's rules on using AI, and for what you submit.
  • We make no promise about academic integrity, and a mark (of any colour) is not a statement about you or your work.
  • Don't paste patient details or other health information that you're not allowed to share into an AI chat site, whether or not SpadaShield is on.

Accounts

  • You sign in on SpadaShield's sign-in page, or with Microsoft if you choose it. For a firm, we set up the workspace and your team's sign-in with you.
  • Keep your sign-in secure, and tell us right away if you think an account has been misused.
  • A firm is responsible for who in the firm uses SpadaShield.
  • You must be at least 18 to use SpadaShield, or at least 13 with a parent's or guardian's permission. SpadaShield is not for children under 13.

Plans and payment

  • 30-day pilot: $750, paid up front. If you continue on Professional after the pilot, the $750 is credited against your first year.
  • Professional: $25 per user per month, with a $99 monthly minimum that covers up to 3 users. We'll invoice you; invoices are due within 30 days.
  • Larger organizations may agree other terms with us in writing.
  • Prices are in US dollars and don't include taxes.
  • Renewal and cancelling: Professional renews monthly until you cancel, and cancelling stops the next invoice.
  • We'll give you at least 30 days' notice before a price change.
  • SpadaShield takes no card payments today. Before card payment opens, we'll add its billing, renewal and refund terms here.

Acceptable use

Don't use SpadaShield:

  • to break the law or anyone's rights;
  • to attack, probe or overload our systems, or the public sources it looks citations up in;
  • to copy, resell or reverse-engineer the service, except where the law allows it;
  • to get around its checks for others in your firm without your firm's permission.

Your data

  • Your data stays yours. We use it only to provide and support the service, as described in our privacy notice. We don't sell it, use it for advertising or train AI models on it.
  • Deletion: ask, and we delete your workspace from our live systems within 30 days and from every backup within 60, as the privacy notice says.
  • Health information: we don't have a HIPAA business associate agreement today. Don't use SpadaShield for health information that requires one.

Availability and changes

  • We work to keep SpadaShield running, but we don't promise it will always be available or free of errors. The public sources it looks citations up in can be slow, unavailable or incomplete, and a citation that couldn't be looked up is marked "Couldn't check".
  • We may improve or change the service. If a change takes away something important you pay for, we'll tell you first, and you can cancel.

Warranties and liability

  • SpadaShield is provided "as is". As far as the law allows, we make no promises beyond what these terms say, including that it will catch everything or that a citation mark is right. The marks are not legal, tax, academic or professional advice.
  • Our total liability for any claim about SpadaShield is capped at what you paid us in the 12 months before the claim. Neither side is liable for indirect or lost-profit damages, except where the law doesn't allow that limit.

Ending the agreement

  • You can stop using SpadaShield at any time.
  • We can suspend or end your access if you break these terms or don't pay, after notice where that's reasonable.
  • When the agreement ends, we delete your workspace as described above, after giving a firm a chance to have its record exported.

The rest

  • These terms are governed by the laws of the State of Ohio.
  • These terms, our privacy notice and any signed order form are the whole agreement.
  • If we change these terms, we'll post the new version with its date and tell workspace administrators about material changes.
